Introduction

Welcome to May Annella. These Terms and Conditions (“Terms”) govern your use of my website at https://www.mayannella.com/ and any purchase you make from me. Please read them carefully before using my website or placing an order.

By accessing my website or placing an order you confirm that you have read, understood and agree to these Terms in full. If you do not agree, please do not use my website or place an order.

These Terms should be read alongside my Privacy Policy and Cookie Policy, which together form the entire agreement between us regarding your use of my website.

1. Definitions

In these Terms the following words have the following meanings:

Website: my website at https://www.mayannella.com/

You / Your: the individual accessing or using my website or purchasing from me

I / Me / My: Kirsty Lloyd, trading as May Annella

Physical Products: limited edition and open edition art prints produced on demand by my fulfilment partner

Digital Products: digital colour palettes available as instant downloads

Fulfilment Partner: The Print Space (Printspace Studios Limited), who produce and dispatch my physical products on demand

Order: a request by you to purchase one or more products from me

Contract: the legally binding agreement between us when I confirm your order

2. Using My Website

2.1 Eligibility

You must be at least 18 years old to make a purchase or create an account on my website. By placing an order you confirm you meet this requirement.

2.2 Account Creation

You may create an account to make purchasing easier and to access your order history. You are responsible for keeping your login details confidential and for all activity that takes place under your account. Please notify me immediately if you suspect unauthorised access to your account. I may suspend or terminate your account if you breach these Terms.

2.3 Accuracy of Information

You agree to provide accurate, current and complete information when creating an account or placing an order. I cannot be held responsible for errors or delays caused by inaccurate information you provide.

3. Products

3.1 Physical Art Prints

I sell limited edition and open edition art prints. All physical prints are produced on demand and made specifically to your order by my fulfilment partner The Print Space. Nothing is held in stock.

3.2 Digital Colour Palettes

I sell digital colour palettes as instant downloads. Once your payment is confirmed your download will be available immediately.

3.3 Product Descriptions

I make every effort to ensure product descriptions, images and colours are accurate. However, colours may vary slightly between your screen and the final printed product due to differences in screen calibration and print processes. This variation does not constitute a fault or misrepresentation.

3.4 Limited Edition Prints

Limited edition prints are produced in a strictly defined edition size of 25 prints, which is stated on each product listing. Each print is individually numbered within the artwork’s border at the bottom left. Every limited edition print is accompanied by a Certificate of Authenticity bearing the artist’s signature, indicating the print’s unique edition number. Once the edition is sold out it will not be reprinted under any circumstances.

4. Pricing and Payment

4.1 Pricing

All prices are listed in GBP (£) and include VAT where applicable. Prices are correct at the time of display but may change without notice. The price you pay is the price shown at the time you place your order.

4.2 Payment Methods

I accept payment via Stripe, PayPal and Apple Pay. Full payment is required at the time of ordering. Your payment is processed securely by these third party payment processors. I do not store your full card details on my website servers.

4.3 Payment Security

Stripe and PayPal are both certified as PCI Level 1 Service Providers. Apple Pay is processed through Stripe. All transactions are encrypted and processed securely by Stripe, PayPal or Apple Pay. I never store your full payment card details on my website. If you choose to save your payment details for future purchases, only a secure token and the last 4 digits of your card are stored by Stripe or PayPal within their own secure systems. Your full card details never touch my website.

4.4 Pricing Errors

If I discover a pricing error on an order you have placed I will contact you as soon as possible. You will have the option to confirm the order at the correct price or cancel for a full refund. I am not obliged to fulfil an order placed at an incorrect price.

5. Orders and Contract Formation

5.1 Placing an Order

When you place an order on my website you are making an offer to purchase. Your order is not confirmed until you receive an order confirmation email from me.

5.2 Order Confirmation

An order confirmation email constitutes acceptance of your order and forms a binding contract between us. Please check your confirmation email carefully and contact me immediately if any details are incorrect.

5.3 Right to Refuse

I reserve the right to refuse or cancel any order at my discretion, including but not limited to cases of pricing errors, stock or production issues, suspected fraud, or orders that cannot be fulfilled. If I cancel your order you will receive a full refund.

5.4 Checkout Acknowledgement

At checkout you will be asked to tick a box confirming the following before your order is placed:

“I agree to the Terms and Conditions and Privacy Policy. I understand all prints are made to order and digital downloads are non refundable once accessed. My Consumer Rights Act 2015 rights remain unaffected.”

This acknowledgement is required to complete your purchase.

6. Delivery

6.1 UK Delivery Only

I currently sell and ship to UK addresses only.

6.2 Fulfilment Partner

All physical prints are produced and dispatched by my fulfilment partner The Print Space (Printspace Studios Limited, 74 Kingsland Road, London E2 8DL). Dispatch and delivery times are estimates and may vary. I will make reasonable efforts to assist you in resolving any fulfilment or delivery issues.

6.3 Delivery Times

Estimated delivery times are shown on each product listing. These are estimates only and I cannot guarantee delivery within these timeframes. I am not liable for delays caused by The Print Space, shipping carriers, or circumstances outside my control.

6.4 Delivery Address

You are responsible for providing a complete and accurate delivery address. I cannot be held responsible for non delivery caused by an incorrect address provided at checkout.

6.5 Tracking

Once your order has been dispatched you will receive tracking information via email from my fulfilment partner’s shipping system.

7. Returns, Refunds and Cancellations

7.1 Physical Prints: Made to Order

All physical prints are produced specifically on demand for your order. As such the personalised goods exemption under Regulation 28(1)(b) of the Consumer Contracts Regulations 2013 may apply and your 14 day right to cancel may not apply to these products.

Your statutory rights under the Consumer Rights Act 2015 are not affected. If your print arrives damaged, faulty or not as described you have the right to a repair, replacement or refund. Please contact me at Kirsty@mayannella.com within 14 days of receiving your order, providing photographs of the damage or fault.

7.2 Digital Products: Non Refundable

Under Regulation 37 of the Consumer Contracts Regulations 2013, the 14 day cancellation right does not apply to digital content once download has begun, provided you have given your express prior consent and acknowledged that the cancellation right is lost. By completing your purchase of a digital product and accessing your download you confirm this consent and acknowledgement.

Your rights under the Consumer Rights Act 2015 remain fully intact. If your digital product is faulty, not as described or fails to download correctly please contact me at Kirsty@mayannella.com and I will resolve the issue promptly.

7.3 Faulty or Damaged Physical Products

If you receive a faulty or damaged physical print please contact me at Kirsty@mayannella.com within 14 days of delivery with your order number and photographic evidence. I will work with The Print Space to arrange a replacement or refund as appropriate. You will not be required to return a damaged item unless specifically requested.

7.4 Refund Processing

Approved refunds will be processed to your original payment method within 14 days of my confirming the refund is due.

8. Intellectual Property and Licensing

8.1 Ownership

All artwork, designs, content and images on my website are the intellectual property of Kirsty Lloyd, trading as May Annella and are protected by UK and international copyright law. Nothing on my website transfers any intellectual property rights to you except as expressly stated.

8.2 Digital Product Licensing

When you purchase a digital colour palette you are purchasing a licence to use my creative work, not ownership of the file itself. The copyright and all intellectual property rights in all digital products remain with Kirsty Lloyd trading as May Annella at all times.

All licences are non exclusive and non transferable.

The following usage terms apply to all licence types:

  • No resale or redistribution: you may not sell, share or give away the digital product file itself. It must always be incorporated into a new original end product
  • No claim of authorship: you may not claim the product as your own original work
  • No competing products: you may not use the product to create items that directly compete with my original digital products

The three licence types available are:

Personal Licence For personal creative and non commercial projects only. You may not use this licence to create items for sale or any commercial purpose whatsoever.

Commercial Licence For small businesses creating up to 5,000 end products for sale. The digital product must be a supporting design element within a new, integrated design and not the primary feature of the end product.

Extended Commercial Licence For larger projects with unlimited sales volume. Under this licence the digital product may be a key selling feature of the end product.

The licence type you purchase is stated at the point of purchase. Using my digital products beyond the scope of your purchased licence is a breach of these Terms and an infringement of my intellectual property rights. I reserve the right to take appropriate legal action in such cases.

8.3 Website Content

You may not copy, reproduce, distribute or create derivative works from any content on my website without my prior written permission.

9. Blog

My website includes a blog for informational purposes. Blog content does not constitute professional advice of any kind and should not be relied upon as such. I am not liable for any actions you take based on blog content.

Comments are not enabled on my blog. If you contact me with feedback or suggestions via my contact form, any personal data you provide will be handled in accordance with my Privacy Policy. Creative ideas or feedback submitted are treated as non confidential and you grant me a perpetual royalty free licence to use such feedback for business improvement purposes.

10. Licensing Page

My website includes a password protected page for business licensing enquiries. Access to this page is by invitation or request only. Any licensing arrangement agreed through this page will be subject to a separate written licence agreement between us. These Terms do not govern the terms of any individual licence agreement.

11. Third Party Links and External Platforms

My website contains links to external platforms including Pinterest, Instagram, Spoonflower, Creative Market and Patterned. I have no control over and accept no responsibility for the content, privacy practices or terms of those platforms. Clicking these links takes you away from my website and you do so at your own risk.

Some links may be affiliate links, meaning I may earn a small commission if you click through and make a purchase. This is at no extra cost to you and I only recommend platforms I genuinely use or believe are of value.

12. Pinterest and Social Media

I have my product catalogue connected to Pinterest. By visiting my website and consenting to marketing cookies through my cookie banner, Pinterest tags may be activated to measure catalogue performance. Full details are in my Privacy Policy and Cookie Policy.

13. Prohibited Uses

You agree not to use my website:

  • In any way that violates any applicable law or regulation
  • To transmit unsolicited commercial communications
  • To impersonate any person or entity
  • To introduce malicious code, viruses or harmful material
  • To attempt to gain unauthorised access to any part of my website or its systems
  • To scrape, copy or reproduce content without my permission
  • In any way that could damage my reputation or that of my business

14. Disclaimer of Warranties

My website and all products are provided in good faith. I do not guarantee uninterrupted or error free service. I do not guarantee that colours shown on screen will be identical to the finished printed product due to variations in screen calibration and print processes.

15. Limitation of Liability

To the maximum extent permitted by law I am not liable for any indirect or consequential loss, loss of profit, loss of data or any loss arising from your use or misuse of my products or website, or from delays or errors caused by third party fulfilment partners or shipping carriers.

Nothing in these Terms limits my liability for fraud, death or personal injury caused by my negligence or for any matter where it would be unlawful to exclude liability.

16. Cookies and Privacy

My website uses cookies and similar technologies. Your use of my website is also governed by my Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. Please read both policies carefully.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of Scotland, United Kingdom. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the Scottish courts.

If you are a consumer you also benefit from any mandatory protective provisions of the law of the country in which you are resident.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid it will be modified to the minimum extent necessary to make it enforceable. The remaining provisions will continue in full force and effect.

19. Changes to These Terms

I may update these Terms from time to time to reflect changes in my business, products or legal requirements. Updates will be posted on this page with a revised effective date. By continuing to use my website after any update you agree to be bound by the revised Terms. I recommend reviewing this page periodically.

20. Entire Agreement

These Terms, together with my Privacy Policy and Cookie Policy, constitute the entire agreement between us regarding your use of my website and purchase of my products and supersede any prior agreements or understandings.
